1. Definitions

• — "Service" refers to the consulting engagements offered by Phượng Minh: Competitor Intelligence Briefing, Cross-Border Expansion Planning, and Enterprise Governance & Compliance Framework.
• — "User" or "Client" refers to any individual or organization that accesses our website or engages our services.
• — "We/Us/Our" refers to Phượng Minh Business Consulting.
• — "Agreement" refers to a signed engagement letter or written scope agreement for a specific consulting engagement.
• — "Deliverable" refers to documents, reports, frameworks, or other outputs produced as part of an engagement.

2. Acceptance of Terms

By submitting a contact form, entering into an engagement agreement, or using this website, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and accept these Terms and Conditions in full. Organizations engaging our services confirm that the individual signing has authority to bind the organization.

3. Service Description

Phượng Minh provides structured business consulting engagements with defined scopes, timelines, and deliverables. Our three service areas are described in detail on our website. Each engagement begins with a scoping conversation and is formalized in a written Agreement before work commences.

We reserve the right to decline any engagement at our sole discretion, including where we determine there is an insufficient fit between the client's needs and our service offering.

4. User Responsibilities

When using our website or engaging our services, you agree to:

• — Provide accurate and complete information in all communications and form submissions
• — Not use the website for any unlawful purpose or in any way that violates applicable Vietnamese law
• — Not attempt to interfere with the website's operation, security, or integrity
• — Not reproduce, distribute, or commercially exploit any content from this website without written permission
• — Cooperate in good faith with the engagement process, including timely provision of information and feedback required for delivery

5. Engagement Terms

Each consulting engagement is governed by a separate written Agreement that specifies deliverables, timeline, fees, and payment schedule. In the event of any conflict between these Terms and a specific Agreement, the Agreement shall prevail for that engagement.

• — Engagements begin only upon execution of a written Agreement by both parties
• — Scope changes must be agreed in writing by both parties
• — Timelines assume timely cooperation and information provision by the client

6. Payment Terms

Fees for each engagement are specified in the written Agreement. Unless otherwise agreed in writing:

• — A deposit (typically 50% of the engagement fee) is payable at the start of the engagement
• — The remaining balance is payable upon delivery of the final deliverable
• — For engagements exceeding 8 weeks, milestone-based payment schedules may be agreed
• — All fees are quoted and payable in Vietnamese Đồng (₫) unless otherwise specified
• — Late payments may accrue interest at the rate permitted under Vietnamese commercial law

7. Intellectual Property

All content on this website — including text, design, and structure — is the intellectual property of Phượng Minh and protected under applicable Vietnamese intellectual property law.

Upon full payment of fees, clients receive a non-exclusive, non-transferable license to use deliverables produced in their engagement for internal business purposes. Deliverables may not be resold, sublicensed, or represented as the client's own original work.

Phượng Minh retains the right to use methodologies and general frameworks developed in the course of engagements in future work, provided no confidential client information is disclosed.

8. Confidentiality

Both parties acknowledge that confidential information may be exchanged during an engagement. Phượng Minh treats all client information as confidential by default and signs non-disclosure agreements at the outset of each engagement. We do not reference client names, situations, or outcomes in our marketing without explicit written consent.

9. Disclaimers

Our website content is provided for informational purposes. While we aim for accuracy, we make no warranties about completeness or currentness of website content.

Consulting deliverables represent our analysis and observations based on information available at the time. We do not provide legal, financial, or regulatory advice, and deliverables should not be treated as a substitute for professional legal or financial counsel. Outcomes of business decisions based on our deliverables remain the responsibility of the client.

10. Limitation of Liability

To the extent permitted by Vietnamese law, Phượng Minh's total liability for any claim arising from or related to an engagement shall not exceed the total fees paid by the client for that specific engagement.

We are not liable for indirect, consequential, or incidental losses, including lost profits or business opportunities, even if we were advised of the possibility of such losses. We are not responsible for outcomes of decisions made by clients based on our deliverables.

11. Termination

Either party may terminate an engagement by written notice if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of written notice.

In the event of client-initiated termination without cause, fees for work completed up to the date of termination are payable. Phượng Minh will retain any deposit paid. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

12. Governing Law and Dispute Resolution

These Terms and any engagements under them are governed by the laws of the Socialist Republic of Vietnam. The parties agree that the competent courts in Hanoi, Vietnam shall have jurisdiction over any disputes arising from these Terms or any engagement.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days from the date a dispute is first raised in writing.

13. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Continued use of our website after any update constitutes acceptance of the revised Terms. For active engagement Agreements, changes to these Terms do not affect the terms of the signed Agreement.
